1. The Parties

This Forja Affiliate Program Agreement (“Agreement”) is entered into between On Deck Society, PBC, a Delaware Public Benefit Corporation (“Company,” “we,” “us,” or “our”), and you, the individual or entity approved to participate in the Forja Affiliate Program (“Affiliate” or “you”).

By applying for and participating in the Forja Affiliate Program, you agree to be bound by the terms of this Agreement.

2. How the Program Works

Upon approval, you will receive a unique affiliate link and/or referral code. When a prospective customer clicks your link or uses your code and completes a qualifying purchase, the sale is attributed to you.

Attribution

  • Attribution is tracked via cookies and/or referral codes
  • The attribution window is 30 days from the initial click
  • Last-click attribution applies: if a customer clicks multiple affiliate links, the most recent affiliate before purchase receives credit

3. Commission Structure

3.1 What Earns Commission

You earn commission on sales of the Forja base product ($9). Only the initial base product purchase qualifies for affiliate commission.

3.2 What Does Not Earn Commission

Credit packs, add-ons, and any other purchases beyond the base product do not earn commission. These products operate on different margins that do not support affiliate payouts.

3.3 Commission Rate

The standard commission rate is 50% of the base product price ($4.50 per qualifying sale). We may offer promotional commission rates from time to time, which will be communicated in writing with specific terms and duration.

3.4 When Commission Is Not Earned

No commission is earned in the following circumstances:

  • The customer requests and receives a refund
  • The transaction results in a chargeback
  • The sale is determined to be fraudulent
  • You purchase the product through your own affiliate link (self-purchases)
  • The sale originated from prohibited advertising methods described in Section 6

4. Payment

4.1 Payment Schedule

Commissions are paid monthly, within 15 days of the end of each calendar month. Payment is made via PayPal or direct deposit, at your election.

4.2 Minimum Payout

The minimum payout threshold is $25. If your earned commissions for a given month are below this threshold, your balance carries forward to the next month until the threshold is met.

4.3 Tax Obligations

You are responsible for all taxes on your affiliate earnings.

  • If your total annual earnings exceed $600, we will issue a 1099-NEC
  • You must provide a completed W-9 form before any payment is issued
  • We do not withhold taxes from affiliate payments

5. FTC Disclosure Requirements

5.1 Mandatory Disclosure

You must clearly and conspicuously disclose your financial relationship with On Deck Society whenever you promote Forja. This is not optional. It is required by the Federal Trade Commission (FTC) and by this Agreement.

5.2 Placement

Your disclosure must appear near the affiliate link or recommendation, not buried in a footer, “About” page, or separate disclosure page. It must be visible before the reader clicks the link.

5.3 Acceptable Language

Examples of acceptable disclosure language:

  • “I earn a commission if you purchase through this link.”
  • “Affiliate link: I may earn a commission at no extra cost to you.”
  • “#ad” or “#sponsored” (for social media posts)

5.4 Enforcement

If we identify a missing or inadequate disclosure, you will have 48 hours to correct it. Failure to correct the issue within that window will result in suspension of your affiliate account until compliance is confirmed.

6. Prohibited Conduct

As an affiliate, you may not:

  • Make false, misleading, or exaggerated claims about Forja or its capabilities
  • Guarantee specific outcomes or results from using Forja
  • Run paid advertisements on brand keywords (“Forja,” “On Deck Society,” or similar terms) without prior written approval
  • Create websites or landing pages that could be confused with official On Deck Society properties
  • Send unsolicited emails, messages, or other spam promoting your affiliate link
  • Post fake reviews, testimonials, or endorsements

7. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use the Forja name and logo solely for the purpose of promoting Forja as an approved affiliate. This license is subject to the following conditions:

  • You may not modify, distort, or alter the Forja name or logo in any way
  • You must use only the approved brand assets we provide
  • This license terminates immediately upon termination of your affiliate account

8. Relationship of Parties

You are an independent contractor, not an employee, agent, partner, or joint venturer of On Deck Society. Nothing in this Agreement creates an employment relationship, and you are not entitled to any employee benefits. You are solely responsible for your own taxes, insurance, and business expenses.

9. Confidentiality

You agree to keep confidential any non-public information shared with you through the affiliate program, including but not limited to commission rates, conversion data, product roadmaps, and internal communications.

This confidentiality obligation survives termination of this Agreement for a period of two (2) years.

10. Indemnification

You agree to indemnify, defend, and hold harmless On Deck Society, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • False or misleading claims you make about Forja
  • Your failure to comply with FTC disclosure requirements
  • Your violation of any term of this Agreement
  • Any third-party claims related to your promotional activities

11. Term and Termination

11.1 Effective Date

This Agreement becomes effective upon your approval into the Forja Affiliate Program.

11.2 Termination

Either party may terminate this Agreement at any time, for any reason, with or without notice. We may immediately suspend or terminate your account if we believe you have violated any term of this Agreement.

11.3 Payment Upon Termination

Upon termination, if your unpaid commission balance exceeds $25, we will pay the remaining balance within 30 days. If your balance is below $25 at the time of termination, the balance is forfeited.

11.4 Survival

The following sections survive termination of this Agreement: Section 5 (FTC Disclosure Requirements), Section 9 (Confidentiality), and Section 10 (Indemnification).

12. Limitation of Liability

To the maximum extent permitted by law, On Deck Society's total liability to you under this Agreement is limited to the total commissions paid to you in the 12 months preceding the claim.

In no event will On Deck Society be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.

13. Modifications

We may modify this Agreement at any time. We will provide at least 30 days' notice of material changes via email or through your affiliate dashboard. Your continued participation in the program after the notice period constitutes acceptance of the modified terms. If you do not agree to the changes, you may terminate your participation before the changes take effect.

14. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to its conflict of law principles.

Any disputes arising under this Agreement will be resolved through binding arbitration administered in Phoenix, Arizona. Both parties waive the right to a jury trial or to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
